1. Who are we?

These terms and conditions apply to all services of AIAdopt.

2. Business customers only

The services of AIAdopt are intended exclusively for businesses, public bodies, non-profit organisations and other professional customers ("Business Customers"). A Business Customer is any natural or legal person acting in the course of its trade, business, craft or profession.

By placing an order, the Customer confirms that it acts for professional or organisational purposes and not as a consumer. At checkout the Customer must provide valid organisation details (including, where applicable, a business, tax or VAT registration number) and confirm that it is ordering on behalf of an organisation.

The individual placing the order warrants that they are authorised to bind the Customer. These terms are intended solely for B2B transactions. If you are a consumer, you are not permitted to purchase. AIAdopt does not offer its services to consumers. AIAdopt may refuse, suspend or cancel an order, and apply the standard tax and consumer rules, if it has reason to believe the Customer is acting as a consumer or has provided incorrect business details.


3. What do we offer?

AIAdopt offers the following services:

Online AI literacy training: role-specific micro-trainings with testing and certification, focused on the obligations of the EU AI Act. The trainings are offered as online modules that can be followed at your own pace.

Consulting and advice: AI Adoption Assessments, guidance on AI policy, and advice on EU AI Act compliance. Consulting is delivered remotely, unless otherwise agreed.


4. Quotes and prices

All prices on the website and in quotes are exclusive of VAT and any other applicable taxes, unless otherwise stated. Prices are in euros (EUR); any exchange-rate differences are for the Customer's account.

Quotes generated via the website are valid for 30 days. A contract is concluded when the Customer confirms the quote in writing (by email), or when AIAdopt receives a signed agreement.

Prices are uniform and non-negotiable. No volume discounts are given. The price on the website is the price.

For public bodies a separate invoicing path is available (purchase orders).


5. Tax

All prices are exclusive of VAT and any other applicable taxes, duties, levies or charges. The tax treatment depends on the Customer's location and status:

Belgian customers: Belgian VAT (currently 21%) is charged.
EU business customers with a valid VAT number: VAT is reverse-charged, the Customer accounts for VAT in its own country. AIAdopt may validate the VAT number (for example via VIES).
Non-EU business customers: Belgian VAT is generally not charged on services to customers outside the EU. The Customer remains responsible for any applicable local taxes, sales taxes, GST, use tax, withholding taxes or similar charges in its own jurisdiction.

AIAdopt may nonetheless charge applicable taxes where legislation requires it. The Customer must provide correct company, VAT, tax or registration details, and on request satisfactory evidence of establishment outside the EU. Where the Customer fails to provide valid details, AIAdopt may treat the transaction as taxable and charge Belgian VAT.

Payments must be made free and clear of any withholding or deduction. If the Customer is required by law to withhold or deduct any amount, the Customer shall increase the payment so that AIAdopt receives the full invoiced amount, unless such gross-up is prohibited by mandatory law. AIAdopt does not provide tax advice. The Customer is solely responsible for determining and complying with any local tax obligations in its own jurisdiction. Where the Customer provides incorrect details, the Customer shall indemnify AIAdopt for any resulting VAT, interest and penalties.


6. Training

Access: after payment, the Customer receives access to the training platform for the agreed number of employees. Each employee receives a personal account.

Certification: after successfully completing a module (a minimum score of 70% on the exam), the learner receives a certificate. The certificate is valid for 12 months. Recertification is available via the annual subscription.

Annual subscription: the annual subscription includes access to updates, updated content and retesting. The subscription is invoiced annually and can be cancelled at any time with effect from the next renewal date.

Open access: within an organisation, every employee may follow all activated modules, regardless of their role. The choice of the right module is supported by a selection wizard.


7. Digital delivery and refunds

The training is digital content delivered online. Access to the training platform is activated immediately after receipt of payment (or, where agreed, after approval of the invoice). The Customer agrees that performance begins immediately upon activation.

No statutory consumer right of withdrawal applies, because AIAdopt sells only to Business Customers. Once access has been activated or accounts have been created, no refund is given, except where required by mandatory law or where AIAdopt is in material breach and fails to cure within 30 days of written notice.


8. Payment

Payment is made online when completing the registration. Access to the training platform is activated after receipt of payment.

For organisations unable to pay directly online, in particular public bodies and public institutions, a payment term of 30 days from the invoice date applies. This must be agreed in advance. For these organisations a separate invoicing path is available (purchase orders).

In the event of late payment, AIAdopt is entitled to charge statutory interest and collection costs in accordance with Belgian law on late payment in commercial transactions.

The annual subscription (from year 2) is invoiced in advance per annual period.


9. Intellectual property

All training content, materials, texts, illustrations, exam questions and certificate templates are and remain the property of AIAdopt. The Customer obtains a non-exclusive, non-transferable right of use for the duration of the contract.

It is not permitted to copy, distribute, modify or make available to third parties any training materials without the written permission of AIAdopt.


10. Liability

AIAdopt provides training and advice to the best of its knowledge and ability. The trainings are intended to support compliance with the AI literacy obligations of the EU AI Act, but do not constitute legal advice.

AIAdopt does not guarantee that following the trainings results in full compliance with the EU AI Act. The Customer remains at all times responsible for complying with the applicable laws and regulations.

Nothing in these terms limits or excludes AIAdopt's liability for intent, fraud, gross negligence, death or personal injury caused by negligence, or any liability that cannot be limited or excluded under mandatory applicable law. Subject to the foregoing, AIAdopt's liability is limited to the amount the Customer has paid for the service concerned, with a maximum of the invoiced amount over the preceding 12 months. AIAdopt is not liable for indirect damage, consequential damage or lost profit.

The Customer is responsible for deciding whether the training is suitable for its organisation, sector, employees and intended compliance approach.


11. Force majeure

AIAdopt is not liable for failure to perform, or late performance of, obligations as a result of force majeure, including: disruptions to the internet or the training platform, power failures, government measures, and other circumstances beyond our control.


12. Privacy and data processing

AIAdopt processes personal data in accordance with the General Data Protection Regulation (GDPR). See our Privacy Policy for more information. For non-EU customers, AIAdopt applies the GDPR as its standard.

Where AIAdopt processes personal data on behalf of the Customer (for example learner data), the Customer acts as controller and AIAdopt as processor. In that case the AIAdopt Data Processing Agreement forms part of these terms and applies in accordance with Article 28 GDPR. The Customer authorises AIAdopt to engage sub-processors (such as hosting, email and payment providers) for the provision of the services. A list of current sub-processors is available on request.


13. Cancellation

The Customer can cancel the annual subscription at any time by email to [email protected]. The cancellation takes effect on the next renewal date. No refund is given of subscription fees already paid.

Access to the training platform and certificates already obtained remain available until the end of the current subscription period.


14. Governing law and disputes

These terms are governed by Belgian law, to the exclusion of its conflict-of-law rules and to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG), even if the services were to be deemed a sale of goods. This choice of Belgian law does not derogate from any overriding mandatory provisions within the meaning of Article 9 of the Rome I Regulation that apply irrespective of this choice.

Disputes are preferably resolved by mutual agreement. Where that is not possible, any dispute arising out of or relating to these terms or the services falls under the exclusive jurisdiction of the Enterprise Court of Antwerp, Hasselt division, Belgium (Ondernemingsrechtbank Antwerpen, afdeling Hasselt), unless mandatory law provides otherwise.


15. Language

These terms are available in several languages. For international Business Customers, the English version is the binding version. In the event of any discrepancy between language versions, the English version prevails.


16. Changes

AIAdopt reserves the right to amend these terms and conditions. Existing customers are informed at least 30 days in advance of material changes. The most recent version is always available on this page.
